Restricted Share Units?

I need to call my benefits hotline to explain this...but does anyone know exactly what this means?

I received a letter regarding some restricted share units that are vesting this month:

At the time of vesting, the value of the shares you receive in settlement of your RSUs will be treated as ordinary income to you, and is subject to payroll tax withholdings. You will receive one share of Class B common stock for each RSU that vests. The company will withhold the number of shares equal in value to the amount necessary to satisfy its tax withholding obligations with respect to these RSUs. The shares remaining after such tax withholding obligations have been satisfied will be credited to your individual, limited purpose account at XX.

Does this mean that the paycheck I receive at the time of vesting will have additional taxes taken out of it? Even though I will not actually have the money on my check? I'm so confused. Thanks!

Oh wait I think seeing it again makes more sense. NO I will not have tax deducted from my paycheck...but the say I have 100 RSU's they will deduct x amount (say 20) to fulfill the tax withholding obligation.

Guess I answered my own questsion!

This is exactly right. They will take your stock to cover the taxes. We vest and cash out yearly as DH's stock stays pretty stagnant. It's a good windfall every year.

Thanks!! And I cash out any of my stock; I'll have to include that in my taxable income for 2014?
